By accessing or using the MindBotics website (mindbotics.ai) or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

MindBotics provides AI-powered CRM, voice agents, chat agents, and marketing automation tools designed for small and mid-sized businesses. The Service includes, but is not limited to, lead capture, automated follow-up, appointment scheduling, reputation management, and digital growth reporting.

3. Eligibility

You must be at least 18 years old and have the legal authority to enter into binding contracts on behalf of yourself or your business. By using the Service, you represent and warrant that you meet these requirements.

4. Account and Access

Some features of the Service require an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use at info@mindbotics.ai.

5. Subscription and Billing

Paid plans are billed on a monthly or annual basis as agreed upon at sign-up. By subscribing, you authorize MindBotics to charge your payment method for all fees. All fees are in USD and are non-refundable except as described in our 30-day money-back guarantee:

• New subscribers may request a full refund within 30 days of their first payment if not satisfied.
• After 30 days, all charges are final and non-refundable.
• You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period.

6. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation
• Send spam, unsolicited messages, or harass any individual
• Infringe the intellectual property rights of others
• Transmit malicious code, viruses, or disruptive data
• Attempt to gain unauthorized access to any part of the Service or its related systems
• Resell or sublicense the Service without our written permission

7. Intellectual Property

All content, trademarks, logos, software, and technology on the Service are the exclusive property of MindBotics or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes only. You may not copy, modify, distribute, sell, or lease any part of the Service.

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. You retain ownership of any data you submit to the Service. You grant MindBotics a limited license to process your data solely to provide the Service.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. MINDBOTICS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MINDBOTICS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO MINDBOTICS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless MindBotics, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in connection with your use of the Service or violation of these Terms.

12. Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other business reason.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes shall be resolved exclusively in the state or federal courts located in Hillsborough County, Florida.

14. SMS Terms of Service

By opting into SMS from a web form or other medium, you are agreeing to receive SMS messages from MindBotics. This includes SMS messages for appointment reminders, demo confirmations, account notifications, and marketing communications.

• Message and data rates may apply depending on your mobile carrier and plan.

15. AI Liability and Usage

MindBotics provides AI-driven solutions, including voice receptionists and automated customer interaction tools. By using these Services, you acknowledge the following:

• As-Is Basis: AI-powered Services are provided on an "as is" and "as available" basis. While MindBotics strives for high accuracy, AI outputs may occasionally contain errors, omissions, or "hallucinations" (incorrect information generated by the AI). MindBotics does not guarantee the absolute accuracy, completeness, or reliability of any AI-generated response or action.
• Limitation of AI Liability: To the maximum extent permitted by law, MindBotics, its affiliates, and its officers shall not be liable for any damages, losses, or legal issues arising from inaccurate information provided by the AI to end-users, misinterpretation of user intent by the AI, or any business decisions or actions taken based on AI outputs — including scheduling or booking mistakes.
• Client Responsibility: You are responsible for monitoring AI interactions, configuring the AI to align with your business requirements and legal obligations, reviewing outputs, and informing your end-users that they are interacting with an AI system.
• AI Training and Data: Data processed by the AI, including voice recordings and chat transcripts, may be used to tune and improve the performance of your specific AI instance. MindBotics handles all such data in accordance with its Privacy Policy and any applicable Data Processing Agreement (DPA).
• Prohibited Use: You shall not use AI Services to generate or disseminate content that is illegal, defamatory, or harmful, infringe intellectual property rights, or attempt to reverse-engineer or circumvent the safety filters of the AI.
• Service Uptime: MindBotics is not liable for downtime caused by third-party hosting providers or telecommunications failures.
• ROI Estimates: Any ROI figures, calculator results, or performance projections provided by MindBotics are estimates and directional only. Actual results vary based on inputs, market conditions, and business operations.

You agree to indemnify, defend, and hold harmless MindBotics from and against any and all claims, losses, or legal fees resulting from your breach of this clause or any third-party claims arising from your deployment of the AI Services.
